Welcome to Grey Jay Logistics. These Terms of Service (“Terms”) govern your use of the Grey Jay Logistics website and your interactions with Grey Jay Logistics (“Grey Jay Logistics,” “we,” “us,” or “our”).
By accessing our website, requesting a quote, booking or requesting logistics services, or otherwise using our services, you agree to these Terms.
1. Our Services
Grey Jay Logistics provides logistics and transportation-related services within Canada.
Our services may include freight transportation coordination, shipment planning, carrier coordination, freight management, and other logistics-related services.
The availability and scope of services may vary depending on shipment type, origin, destination, equipment availability, carrier availability, and other operational considerations.
We reserve the right to accept or decline any request for service.
2. Quotes and Pricing
Quotes provided by Grey Jay Logistics are based on the information supplied by the customer at the time the quote is requested.
Unless otherwise stated, a quote is an estimate and may be subject to change if shipment information changes or additional charges are incurred.
Additional charges may apply for circumstances including:

Incorrect shipment weight or dimensions

Additional or unexpected stops

Detention or waiting time
-
Layovers
-
Driver assistance
-
Lumper or unloading charges
-
Storage
-
Redelivery
-
Failed pickup or delivery attempts

Address changes

Accessorial services

Special equipment requirements

Fuel-related adjustments

Changes to pickup or delivery requirements

Other charges incurred in completing the shipment
Customers are responsible for providing complete and accurate information when requesting a quote or booking services.
3. Booking and Shipment Information
A quote does not necessarily constitute a confirmed booking.
A shipment is considered accepted only after Grey Jay Logistics confirms the booking or otherwise agrees to provide the requested service.
Customers must provide accurate shipment information, including where applicable:

Pickup and delivery locations

Contact information
-
Freight description
-
Number of pieces or pallets
-
Weight and dimensions
-
Required equipment
-
Pickup and delivery dates or appointment times
-
Special handling requirements
-
Any other information reasonably necessary to arrange transportation
Grey Jay Logistics may adjust pricing or refuse service where information supplied by the customer is incomplete, inaccurate, or materially different from the actual shipment.
4. Customer Responsibilities
The customer is responsible for ensuring that shipments are properly prepared, packaged, labelled, secured, documented, and legally permitted for transportation.
The customer is also responsible for providing accurate information regarding the nature, quantity, weight, dimensions, value, and requirements of the goods.
Unless specifically agreed to in writing, customers must not tender hazardous, dangerous, prohibited, illegal, controlled, or regulated goods without first informing Grey Jay Logistics and obtaining approval.
The customer is responsible for complying with all applicable Canadian laws, regulations, transportation requirements, and shipping documentation requirements.
5. Pickup and Delivery Times
Grey Jay Logistics will make commercially reasonable efforts to arrange transportation according to requested pickup and delivery schedules.
Unless expressly guaranteed in writing, pickup times, transit times, and delivery times are estimates and are not guaranteed.
Delays may occur because of circumstances including weather, traffic, road closures, mechanical problems, carrier delays, border or regulatory issues, facility delays, labour disruptions, accidents, emergencies, or circumstances beyond our reasonable control.
Grey Jay Logistics is not responsible for losses arising solely from delays outside our reasonable control, subject to applicable law and any written agreement governing the shipment.
6. Carriers and Third-Party Service Providers
Grey Jay Logistics may use or coordinate with independent motor carriers, transportation providers, warehouses, contractors, and other third-party service providers in connection with logistics services.
Where transportation is performed by an independent carrier, that carrier may be responsible for the physical transportation and handling of the shipment.
Additional terms contained in a carrier's bill of lading, tariff, rate confirmation, service agreement, or other transportation document may apply to a shipment.
7. Bills of Lading and Shipping Documents
Customers are responsible for providing accurate and complete shipping documentation when required.
A bill of lading or other transportation document may govern certain aspects of a shipment, including transportation terms, cargo claims, and liability.
If these Terms conflict with a separately executed written agreement between Grey Jay Logistics and the customer, the executed written agreement will govern to the extent of the conflict.
8. Cargo Loss or Damage
Customers should inspect shipments promptly upon delivery.
Visible loss or damage should be noted on the delivery receipt or other applicable transportation document whenever reasonably possible.
Any claim involving cargo loss, shortage, or damage must be submitted promptly and must include sufficient supporting documentation, which may include:

Bill of lading

Proof of delivery

Commercial invoice

Photographs of the damaged freight

Repair or replacement documentation

Description of the loss or damage
-
Other reasonably requested supporting information
Cargo claims may be subject to additional terms, limitations, procedures, and time limits imposed by applicable law, the transporting carrier, bills of lading, tariffs, contracts, or insurance policies.
Submission of a claim does not guarantee payment or acceptance of liability.
9. Cargo Insurance
Unless expressly agreed otherwise in writing, Grey Jay Logistics does not represent that a customer's goods are insured for their full commercial or replacement value.
Customers are responsible for determining whether additional cargo insurance is appropriate for their shipment.
Where additional insurance is requested, it must be arranged and confirmed before the shipment is transported.
10. Payment Terms
Customers are responsible for paying all agreed freight charges and other applicable charges associated with their shipments.
Payment terms will be stated on invoices, rate confirmations, customer agreements, or other applicable documentation.
Overdue amounts may be subject to interest, collection expenses, or other charges to the extent permitted by applicable law and any applicable agreement.
The customer is responsible for reasonable costs incurred in collecting valid overdue amounts, where permitted by law.
11. Cancellations
Customers should notify Grey Jay Logistics as soon as possible if a shipment needs to be cancelled or changed.
Cancellation charges may apply where a carrier has already been dispatched, equipment has been reserved, or costs have otherwise been incurred.
Additional charges may also apply for truck ordered not used (“TONU”), detention, layovers, or similar circumstances where applicable.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Grey Jay Logistics will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business opportunities, or loss of revenue arising from the use of our website or services.
Liability for cargo loss, damage, shortage, or delay may be governed by applicable transportation law, a bill of lading, carrier terms, insurance coverage, or a separate written agreement.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
13. Website Use
The Grey Jay Logistics website is provided for general information and to allow customers and prospective customers to learn about our services and contact us.
You agree not to:

Use the website for unlawful or fraudulent purposes

Attempt to gain unauthorized access to the website or its systems

Introduce viruses, malware, or other harmful technology

Information displayed on the website does not constitute a binding transportation quote or guarantee unless specifically confirmed by Grey Jay Logistics.
15. Intellectual Property
Unless otherwise stated, the Grey Jay Logistics name, branding, website design, text, graphics, and other original website content are owned by or licensed to Grey Jay Logistics and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or commercially exploit our website content without authorization.
16. Privacy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy and applicable Canadian privacy laws.
By using our website or services, you acknowledge that personal information may be handled as described in our Privacy Policy.
17. Force Majeure
Grey Jay Logistics will not be responsible for a failure or delay in performance caused by events beyond our reasonable control, including severe weather, natural disasters, fires, floods, accidents, road closures, government actions, labour disruptions, civil disturbances, telecommunications failures, widespread technology failures, or similar events.
18. Indemnification
To the extent permitted by applicable law, the customer agrees to indemnify and hold Grey Jay Logistics harmless from claims, losses, damages, penalties, costs, or expenses resulting from the customer's violation of applicable law, inaccurate shipment information, improper packaging or documentation, prohibited goods, or material breach of these Terms.
19. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Subject to any mandatory legal requirements, disputes relating to these Terms or our services will be subject to the jurisdiction of the courts of Ontario.
20. Changes to These Terms
Grey Jay Logistics may update these Terms periodically to reflect changes to our services, business practices, legal requirements, or website.
Updated Terms will be posted on our website with a revised effective date.
Continued use of the website or services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
